Terms of Use

Please read these terms carefully before using our services

1. Acceptance

By registering for, accessing, or using the SpherekaNova (“Nova”) enterprise resource planning (ERP) service operated by Almosbah Alakhdar for Software (“Sphereka”), you acknowledge and agree to be bound by these Terms of Use and our Privacy Policy.

Sphereka reserves the right to modify or update any of these Terms from time to time. In the event of any material modification, users will be notified through the system. Your continued use of the service after the effective date of such modifications constitutes explicit or implicit acceptance of the amended Terms.

If you do not agree to the new Terms, you must immediately stop using Nova. You are responsible for reviewing the Terms periodically to ensure you are aware of the latest effective version.

2. Services

Nova provides ERP software solutions on a subscription basis. Features and functionalities may evolve over time in line with technological developments and user needs.

Sphereka is not obligated to maintain all current features or functionalities and may, at its sole discretion, discontinue, replace, or modify any feature or functionality, without prejudice to user data or disruption of the core platform.

Sphereka will notify users of any material updates to the system and will continually strive to deliver the best possible quality and user experience.

3. Subscriptions & Payments

  • Subscriptions are automatically processed via MEPS according to the selected plan: monthly or annual.
  • Recurring fees will continue until the subscription is canceled. By registering, you authorize these recurring payments.
  • Upgrades or Plan Changes:
    • If you upgrade your subscription before the end of the current billing cycle, a prorated credit will be applied for the remaining period.
    • Example: If 7 months remain on a monthly plan priced at JOD 20/month and you upgrade to a new annual plan priced at JOD 400, the value of the remaining months (JOD 140) will be deducted. The amount due will be JOD 260, and the new subscription period will begin from the upgrade date.
    • Exact proration calculations are determined according to Sphereka’s financial system and policies.
  • Late or Failed Payments:
    • Sphereka reserves the right to suspend, terminate, or delete accounts and all associated data in the event of non-payment.
    • Services will remain unavailable until payment is successfully processed.
  • Refunds: No refunds will be issued except at Sphereka’s discretion.
  • Free Trial Periods: May be offered at Sphereka’s discretion and may be withdrawn at any time.

4. User Obligations

  • Provide accurate company and personal information, including tax registration numbers.
  • Maintain the confidentiality of login credentials.
  • Comply with all applicable laws in Jordan, including tax, commercial, and privacy laws.
  • Nova may not be used for any unlawful purposes or in violation of Jordanian law.
  • The user is solely responsible for any use made through their account, even if conducted by an unauthorized third party.
  • The user is solely responsible for any content entered or uploaded via Nova and warrants that it does not infringe any intellectual property rights or applicable laws.

5. Data Ownership and Promotional Consent

  • All data uploaded by the user to Nova remains fully owned by the user and does not transfer to Sphereka.
  • By using Nova, you grant Sphereka a non-exclusive right to display your company name and logo within its portfolio or promotional materials for identification and marketing purposes only. This does not include, under any circumstances, sharing or displaying any operational data or your confidential information.
  • You may withdraw this consent at any time by written notice to Sphereka. Withdrawal will be effected within a reasonable time from the date of receipt.
  • Sphereka reserves the right to retain backup copies of data for security and operational purposes—even after withdrawal of consent or termination of use—within the limits necessary to ensure system continuity and integrity.

6. Third-Party Services

Nova integrates services from third parties, including MEPS for payments and government tax systems (e-invoicing).

Sphereka assumes no responsibility for interruptions, errors, data loss, or any other issues arising from third-party services.

The user is solely responsible for any legal or financial obligations resulting from dealings with third-party services via Nova.

7. Limitation of Liability

  • Nova is provided “as is” without any express or implied warranties, including—without limitation—warranties of quality, fitness for a particular purpose, or freedom from errors or malfunctions.
  • Sphereka uses reasonable efforts to preserve data through automatic backups and to ensure its continuity so long as server operations remain functional. Sphereka also maintains an internally stored hard copy backup as an additional reference and may provide the client with the latest available copy in the event of severe technical failures, emergencies, force majeure, or events beyond its control.
  • However, Sphereka shall in no event be liable for:
    • Loss or damage to data resulting from technical failures, emergencies, force majeure, or events beyond its control;
    • Any interruption or cessation of service for the same reasons indicated above;
    • Any indirect, incidental, or consequential damages, including loss of profits or revenues;
    • Any losses or damages arising from business decisions made based on the use of Nova.
  • Sphereka’s maximum aggregate liability in all cases—regardless of the nature of the claim (contract, tort, or otherwise)—is limited to the lesser of:
      The total amounts paid by the customer for the subscription during the twelve (12) months immediately preceding the event giving rise to the claim.

8. Suspension and Termination

  • Sphereka may suspend or terminate accounts in the following cases:
    • Violation of these Terms;
    • Non-payment or late payment;
    • Misuse of SpherekaNova.
  • Users may cancel subscriptions at any time; cancellation becomes effective prior to the next billing cycle.
  • Data Retention:
      Sphereka reserves the right to delete all data associated with accounts terminated due to non-payment.
      Sphereka assumes no responsibility for loss of data upon termination or deletion.
      Data may be retained after voluntary termination for legal, tax, or regulatory purposes.

9. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Hashemite Kingdom of Jordan.
  • Disputes shall be resolved before the courts of Amman (Palace of Justice).
  • Sphereka reserves the right to choose mandatory arbitration as an alternative means of dispute resolution at its discretion or if the amount in dispute exceeds JOD 5,000.

10. Prevailing Language

In the event of any inconsistency or dispute regarding interpretation between the Arabic and English versions of these Terms, the Arabic version shall prevail.
